From My Experience as a Mississauga Business Lawyer

Most of the Mississauga owners who call me aren't in trouble yet — they can feel something coming. A supplier stopped returning emails. A business partner is suddenly cagey about the books. A customer who always paid on time is now ninety days out. After fifteen years doing this, I've noticed the calls tend to follow a few patterns, and the patterns are worth sharing.

The one I see most is the two-person company that never got its shareholders' agreement done. Two friends start something — often out of a unit near Dixie or an office off Eglinton — split everything 50/50 on a handshake, and grow faster than they expected. Then one wants to sell, or bring in family, or step back, and there's nothing on paper telling them how. A 50/50 split with no tie-breaker isn't a partnership; it's a stalemate waiting for a reason. I'd rather spend an afternoon drafting that document than a year litigating its absence.

The second is the lease. Mississauga has a lot of industrial and retail space, and a lot of standard-form leases handed to tenants as if the terms are fixed. They aren't. I've read commercial leases where the tenant was on the hook for the roof, the HVAC, and a "management fee" that quietly climbed every year. The rent number is the part everyone negotiates; the additional rent is the part that actually decides whether the space is affordable. Read the whole thing before you sign — you have all your leverage before you sign and almost none after.
